1. Subscriptions

1.1. Science Designer offers the following subscription plans:

• Standard Plan: $4,995/month, allowing one active request at a time.
• Professional Plan: $7,995/month, allowing two active requests at a time.
• Video Editing Add-On: An additional $3,000/month, available with either the Standard or Professional Plan, permitting one active video editing request at a time.

1.2. All plans offer unlimited design requests per month, subject to the active request limitations specified above.

1.3. Subscriptions are billed on a monthly basis and will automatically renew unless canceled.

1.4. Clients may cancel or pause their subscription at any time with at least two days’ notice before the start of the next subscription month.

1.5. No refunds will be provided for the current subscription month upon cancellation.

This revision introduces the Video Editing Add-On as an optional enhancement to the existing subscription plans, detailing its cost and the conditions under which it can be utilized.

2. Service Description

2.1. Science Designer provides design services including, but not limited to: Slide Decks and Presentations, Websites and Web Pages, Logos and Brand Identity Systems, Landing Pages, Brochures and Flyers, Infographics and Data Visualizations, Social Media Graphics, Email Templates, Business Cards, Letterheads and Stationery, Posters and Banners, eBook Covers and Layouts, Product Packaging Designs, Icons and Icon Sets, User Interface (UI) Elements, Wireframes and Mockups, Charts and Graphs, Scientific Illustrations, Technical Diagrams, Conference Posters, Journal Figure Layouts, and Custom Scientific Symbols and Icons.

2.2. Designs will be created and delivered using Figma and Webflow.

2.3. The Service does not include the creation of videos, animations, GIFs, software, or programming.

2.4. Notwithstanding our extensive experience, certain requests may exceed our capabilities. In such instances, we shall promptly notify the client of any limitations at the commencement of the project.

3. Intelectual Property Rights

3.1. Clients will own all intellectual property rights to the designs created through the Service, with the exception of 3D files.

3.2. We will provide source files for all designs, excluding 3D files, which remain proprietary to Scientific Animations, Inc.

3.3. Clients agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service without express written permission from us.

3.4. We reserve the right to use examples of designs we create as samples of our work, provided they are in the public domain. If a client does not wish for their designs to be used as examples, they must notify us at the commencement of their subscription, in which case we will not showcase any work from that client.

4. Use of Service

4.1. Clients may submit design requests via email, webform, or through meetings with our project managers.

4.2. We will work on one request at a time (or two for Professional Plan subscribers). A new request cannot be started until the current request is paused, stopped, or completed.

4.3. We reserve the right to refuse any design request that we deem inappropriate, illegal, or in violation of these Terms.

5. Account Sharing and Transfer

5.1. The subscription account can be shared within the client’s company but not outside the organization.

5.2. Subscriptions are non-transferable.

6. Change to Service and Pricing

6.1. We reserve the right to modify or discontinue the Service at any time. In the event of discontinuation, we shall allow the current service month to continue until its conclusion.

6.2. Prices for subscriptions are subject to change. We will provide at least 30 days’ notice of any price changes via email.

8. Services Availability

8.1. We will provide the Service to the best of our ability during U.S. business hours.

8.2. We are not responsible for service interruptions due to internet outages or factors beyond our reasonable control.

9. Limitation of Liability

9.1. We guarantee that all work produced is original. While we may use AI tools in different steps of the design process, they are not used for final designs.

9.2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCIENTIFIC ANIMATIONS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

10. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation: (a) Violation of intellectual property rights; (b) Sharing or reselling the subscription outside the client’s company; (c) Non-payment or repeated payment issues; (d) Abusive behavior towards staff; (e) Misuse of the service (e.g., requesting designs for illegal or unethical purposes).

11. Changes to Terms

11.1. We reserve the right to modify these Terms at any time. We will notify subscribers of any changes via email.

11.2. Continued use of the Service after any modifications to the Terms constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

15. Waiver

The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.BY USING THE SCIENCE DESIGNER SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND CONDITIONS AND AGREE TO BE BOUND BY THEM.
